Terms of Service

Effective Date: August 21, 2026

These Terms of Service ("Terms") are a legally binding agreement between you or the entity you represent ("Customer," "you," or "your") and Gen7 Labs, Inc. ("Gen7," "we," "us," or "our").

These Terms govern your access to and use of Gen7's websites (including gen7labs.ai), software, APIs, SDKs, hosted services, dashboards, developer tools, memory and state-management infrastructure, and other products or services that reference these Terms (collectively, the "Services").

By creating an account, accessing an API, clicking an acceptance button, executing an Order Form that incorporates these Terms, or otherwise using the Services, you agree to these Terms.

If you do not agree with these Terms, you may not use the Services.

If you access or use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "Customer," "you," and "your" refer to that entity.

1. Agreement Structure

These Terms govern use of the Services unless Gen7 and Customer have entered into a separate written agreement governing the same Services.

The complete agreement between Gen7 and Customer may include:

  • these Terms;
  • an Order Form;
  • an enterprise or master services agreement;
  • a Data Processing Addendum ("DPA");
  • service-specific terms;
  • an applicable subscription plan;
  • documentation and usage limits expressly incorporated into an Order Form; and
  • other written agreements executed by authorized representatives of Gen7 and Customer.

If a separately executed agreement conflicts with these Terms, the separately executed agreement will control with respect to the subject matter of that agreement.

If an Order Form conflicts with these Terms, the Order Form will control for the Services covered by that Order Form.

2. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or use the Services.

"Authorized Users" means the employees, contractors, agents, end users, and automated systems that Customer permits to access or use the Services under Customer's account or credentials.

If you use the Services on behalf of an organization, you represent and warrant that:

  • you are authorized to act on behalf of that organization;
  • the organization agrees to these Terms;
  • your use complies with applicable law; and
  • you and your Authorized Users will comply with these Terms.

3. Accounts, Credentials, and API Keys

Certain Services may require an account, API key, access token, credential, or other authentication mechanism.

You are responsible for:

  • providing accurate account information;
  • keeping account information current;
  • protecting passwords, API keys, tokens, and credentials;
  • restricting access to Authorized Users;
  • maintaining appropriate security controls around credentials; and
  • all activity occurring through your account or credentials.

You may not sell, transfer, publicly disclose, or provide credentials to unauthorized parties.

You must promptly notify Gen7 if you discover or reasonably suspect unauthorized access to your account, credentials, API keys, or the Services.

Gen7 may impose technical limits, rate limits, usage limits, or security requirements reasonably necessary to protect the Services and other customers.

4. Access to the Services

Subject to these Terms and any applicable Order Form, Gen7 grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription or service term.

Customer may use APIs and SDKs to incorporate the Services into Customer applications where permitted by the applicable product documentation or Order Form.

No rights are granted except those expressly stated in these Terms.

5. Customer Content

"Customer Content" means information, data, text, code, files, prompts, messages, documents, events, agent trajectories, tool results, memories, records, state information, metadata, or other content submitted to or processed through the Services by or on behalf of Customer.

As between Gen7 and Customer, Customer retains all right, title, and interest in Customer Content.

Customer grants Gen7 a limited, non-exclusive license to host, copy, transmit, process, transform, index, retrieve, and otherwise use Customer Content only as reasonably necessary to:

  • provide the Services;
  • operate features requested by Customer;
  • secure and maintain the Services;
  • diagnose failures or technical issues;
  • comply with applicable law; and
  • perform obligations expressly authorized under an applicable agreement.

Customer represents and warrants that it has all rights, permissions, and lawful bases necessary to provide Customer Content to Gen7 and authorize Gen7 to process it as contemplated by these Terms.

6. Customer Content and AI Model Training

Gen7 does not use Customer Content to train general-purpose artificial-intelligence or machine-learning models. This commitment applies to all tiers of the Services, including free, trial, preview, beta, and paid Services.

Gen7 will not use Customer Content for model training of any kind unless Customer expressly agrees otherwise in writing or affirmatively opts into a program that clearly states otherwise.

Gen7 may collect and use technical, operational, security, performance, and usage information relating to operation of the Services ("Service Data"), provided that such Service Data does not include Customer Content except where reasonably necessary to provide, secure, support, or troubleshoot the Services.

Gen7 may create aggregated or de-identified statistics from Service Data or Customer Content where the resulting information does not reasonably identify Customer or an individual. Gen7 may use such aggregated or de-identified information to operate, analyze, improve, and develop its Services.

7. Outputs and Agent Decisions

The Services may organize, retrieve, summarize, transform, infer from, prioritize, reconcile, or otherwise process Customer Content.

The Services may also interact with artificial intelligence models or third-party AI systems and may produce recommendations, retrieved information, inferred state, generated content, classifications, summaries, or other results ("Outputs").

Customer acknowledges that AI systems and automated systems may produce Outputs that are:

  • inaccurate;
  • incomplete;
  • outdated;
  • inconsistent;
  • misleading;
  • non-unique; or
  • inappropriate for a particular purpose.

Customer is responsible for determining whether Outputs are appropriate for Customer's intended use.

Gen7 does not warrant that an Output, memory, inference, retrieved state, recommendation, or generated result is factually correct or appropriate for autonomous action.

Customer remains responsible for decisions, actions, code execution, deployments, communications, transactions, or other consequences resulting from Customer's use of the Services or Outputs.

Where applicable law or the circumstances require human review, Customer is responsible for implementing appropriate human oversight.

8. Memory, State, and Historical Information

Certain Gen7 Services may maintain persistent information, historical records, evolving state, inferred relationships, confidence information, provenance, supersession history, or other forms of long-term context.

Customer acknowledges that:

  • information that was once accurate may later become outdated;
  • conflicting sources may produce conflicting state;
  • inferred information may be incorrect;
  • automated resolution systems may fail to identify all contradictions;
  • historical information may remain stored even after a current state changes; and
  • retrieval and prioritization systems may not surface every relevant item.

Customer is responsible for determining whether Gen7 Services are appropriate for any system in which incorrect or outdated information could create material harm.

9. Prohibited and Regulated Data

Unless expressly authorized under a separate written agreement with Gen7, Customer may not submit data requiring specialized regulatory or security commitments that Gen7 has not agreed to provide.

This may include:

  • protected health information subject to HIPAA;
  • payment-card data governed by PCI DSS;
  • authentication secrets belonging to third parties;
  • highly sensitive biometric information;
  • government-classified information;
  • information subject to specialized national-security restrictions; or
  • other categories identified by Gen7 as prohibited in applicable documentation.

If Customer requires Gen7 to process regulated data, the parties may execute additional contractual terms where appropriate.

10. High-Risk Uses

The Services are not designed, intended, or licensed for use in circumstances where the failure, unavailability, inaccuracy, or outdatedness of the Services or Outputs could lead to death, personal injury, or severe physical, environmental, or societal harm ("High-Risk Uses").

Unless expressly authorized under a separate written agreement with Gen7, Customer may not use the Services in connection with:

  • medical devices, clinical diagnosis, or treatment decisions made without qualified human review;
  • life-support, emergency-response, or other life-safety systems;
  • operation or control of aircraft, air-traffic systems, autonomous vehicles, or other mass-transit systems;
  • operation or control of nuclear facilities, weapons systems, or military targeting;
  • operation or control of critical infrastructure, including power generation and water-treatment systems; or
  • decisions that produce legal or similarly significant effects concerning individuals, including decisions relating to employment, credit, insurance, housing, or access to essential services, made without meaningful human review.

Customer is solely responsible for evaluating whether a contemplated use constitutes a High-Risk Use and for implementing the human oversight, redundancy, and fail-safe measures appropriate to Customer's use of the Services.

11. Acceptable Use

Customer may use the Services only for lawful purposes and in accordance with these Terms.

Customer will not, and will not permit others to:

  • use the Services in violation of applicable law;
  • infringe or misappropriate another person's rights;
  • access another customer's data without authorization;
  • distribute malware or malicious code;
  • interfere with or disrupt the Services;
  • circumvent rate limits, access controls, usage restrictions, or security measures;
  • probe, scan, or test the vulnerability of the Services without authorization;
  • attempt to gain unauthorized access to systems or networks;
  • use stolen or unauthorized API credentials;
  • impersonate another person or organization;
  • intentionally submit false or malicious information for the purpose of corrupting the Services or another customer's state;
  • use the Services to facilitate fraud, exploitation, abuse, or unlawful surveillance;
  • reverse engineer, decompile, or attempt to derive source code or non-public underlying technology except where such restriction is prohibited by law;
  • copy, resell, sublicense, rent, or commercially redistribute the Services except where expressly permitted;
  • use the Services in a manner intended to impose unreasonable load or degrade availability for others; or
  • use the Services to develop or operate unlawful products or services.

Gen7 may investigate suspected violations and may restrict or suspend access when reasonably necessary to protect Gen7, Customers, users, third parties, or the integrity of the Services.

12. Customer Applications and Authorized Users

Customer may permit Authorized Users to interact with the Services where permitted by Customer's plan or Order Form.

Customer is responsible for:

  • use of the Services through Customer's account;
  • its Authorized Users;
  • Customer applications integrating with Gen7;
  • providing legally required notices to individuals whose information is submitted to the Services;
  • obtaining legally required rights or consents;
  • configuring the Services appropriately; and
  • complying with applicable privacy, employment, consumer-protection, intellectual-property, AI, and other laws.

13. Third-Party Services and AI Providers

The Services may interoperate with third-party products, cloud providers, model providers, repositories, databases, developer tools, APIs, or other third-party services ("Third-Party Services").

Customer may choose to connect Third-Party Services to Gen7.

By doing so, Customer authorizes Gen7 to access and exchange information with those Third-Party Services as reasonably necessary to provide the requested integration.

Third-Party Services are governed by their own agreements and privacy practices.

Gen7 does not control and is not responsible for the availability, security, accuracy, functionality, or conduct of independent Third-Party Services.

Gen7 may modify, suspend, or discontinue an integration if a Third-Party Service changes, restricts, or terminates access to its systems.

14. Privacy and Data Protection

Gen7's collection and processing of personal information for its own purposes is described in the Gen7 Privacy Policy.

Where Gen7 processes personal information on behalf of Customer as a processor or service provider, such processing may be governed by an applicable DPA.

If the parties execute a DPA, the DPA will control over these Terms with respect to processing governed by the DPA.

Customer is responsible for determining whether Customer's use of the Services complies with applicable privacy and data-protection laws.

15. Security

Gen7 will maintain administrative, technical, and organizational safeguards reasonably designed to protect the security of the Services and Customer Content.

Customer acknowledges that no computer system, network, storage system, or method of electronic transmission can be guaranteed to be completely secure.

Customer is responsible for maintaining appropriate security for:

  • Customer systems;
  • user accounts;
  • API keys;
  • devices;
  • applications;
  • integrations; and
  • credentials under Customer's control.

Additional security obligations may be specified in an enterprise agreement, security addendum, DPA, or Order Form.

16. Confidentiality

"Confidential Information" means non-public information disclosed by one party ("Discloser") to the other ("Recipient") that is identified as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.

Confidential Information may include:

  • Customer Content;
  • product roadmaps;
  • non-public technical information;
  • security information;
  • business plans;
  • pricing;
  • financial information;
  • source code;
  • research;
  • architecture;
  • trade secrets; and
  • other proprietary information.

Recipient will:

  • use Confidential Information only to perform under the parties' agreement;
  • take reasonable measures to protect it;
  • disclose it only to personnel, contractors, advisers, or service providers who need access and are subject to appropriate confidentiality obligations; and
  • not disclose it to third parties except as permitted by these Terms or required by law.

Confidential Information does not include information that Recipient can demonstrate:

  • was lawfully known without confidentiality restriction;
  • becomes public through no breach by Recipient;
  • is lawfully obtained from another party without confidentiality obligation; or
  • is independently developed without use of Discloser's Confidential Information.

If Recipient is legally required to disclose Confidential Information, Recipient may do so and, where legally permitted, will provide reasonable notice to Discloser.

17. Fees and Payment

Certain Services may be provided for a fee.

Applicable prices, usage limits, billing periods, and payment terms will be shown in the applicable subscription plan or Order Form.

Unless otherwise stated:

  • fees are stated in U.S. dollars;
  • Customer is responsible for applicable taxes other than taxes based on Gen7's net income;
  • fees paid are non-refundable except where required by law or expressly agreed otherwise;
  • usage-based fees may vary based on Customer's actual usage; and
  • Gen7 may suspend paid Services for materially overdue undisputed amounts after providing reasonable notice.

Any automatic renewal terms applicable to a subscription will be disclosed at the time Customer purchases that subscription or in the applicable Order Form.

Enterprise pricing, credits, minimum commitments, service levels, and related commercial terms may be addressed separately in an Order Form.

18. Free, Trial, Preview, and Beta Services

Gen7 may offer Services or features identified as free, trial, preview, early access, experimental, or beta.

Such Services may:

  • contain errors;
  • change materially;
  • operate with reduced availability;
  • have limited support;
  • be subject to additional limits; or
  • be discontinued.

Unless expressly agreed otherwise, preview or beta Services are provided "as is" without service-level commitments or warranties.

19. Service Availability and Changes

Gen7 may modify or update the Services from time to time.

Gen7 does not guarantee uninterrupted or error-free availability except where a separate written Service Level Agreement expressly provides otherwise.

Gen7 may perform maintenance and may suspend access where reasonably necessary for:

  • security;
  • maintenance;
  • legal compliance;
  • prevention of abuse;
  • protection of infrastructure; or
  • emergency circumstances.

For material changes to paid Services that significantly reduce core functionality, Gen7 will use commercially reasonable efforts to provide advance notice where practicable.

20. Intellectual Property

As between Gen7 and Customer, Gen7 and its licensors retain all right, title, and interest in and to:

  • the Services;
  • Gen7 software;
  • APIs and SDKs;
  • documentation;
  • algorithms;
  • system architecture;
  • models and technology developed by Gen7;
  • designs;
  • trademarks;
  • logos;
  • interfaces; and
  • improvements and derivative technology.

Except for the limited rights expressly granted under these Terms, no intellectual-property rights are transferred to Customer.

Open-source software included with or distributed as part of the Services may be governed by separate open-source licenses.

21. Copyright Complaints

Gen7 respects intellectual-property rights and responds to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA") or other applicable law.

If you believe that content available through the Services infringes your copyright, you may send a notification containing the information required by 17 U.S.C. § 512(c)(3) to Gen7's designated agent:

Gen7 Labs, Inc., Attn: Copyright Agent, 470 James Street, STE 7, New Haven, Connecticut 06513; Email: legal@gen7labs.ai.

Gen7 may remove or disable access to allegedly infringing material and may terminate the accounts of repeat infringers in appropriate circumstances.

22. Feedback

If Customer provides suggestions, ideas, enhancement requests, or other feedback concerning the Services ("Feedback"), Customer grants Gen7 a perpetual, irrevocable, worldwide, royalty-free right to use that Feedback without restriction or obligation.

Feedback does not include Customer Content or Customer Confidential Information.

23. Publicity

Neither party may publicly use the other party's name, trademarks, or logos to imply endorsement without permission.

Gen7 will not identify Customer as a customer in public marketing materials unless Customer has agreed to such use in writing or through an applicable Order Form.

24. Suspension

Gen7 may suspend Customer's access to all or part of the Services if Gen7 reasonably determines that:

  • Customer materially violates these Terms;
  • Customer's use creates a security risk;
  • Customer's use could materially harm Gen7, the Services, another customer, or a third party;
  • suspension is required by law;
  • Customer engages in fraudulent activity;
  • Customer's account has been compromised; or
  • undisputed fees remain materially overdue after required notice.

Where commercially reasonable and legally permitted, Gen7 will attempt to provide notice and an opportunity to cure before suspension.

25. Term and Termination

These Terms remain effective while Customer accesses or uses the Services.

Customer may stop using free Services at any time.

Paid subscriptions may be terminated in accordance with the applicable subscription terms or Order Form.

Either party may terminate an applicable agreement if the other party materially breaches it and does not cure the breach within 30 days after written notice, where the breach is capable of cure.

Gen7 may terminate or suspend access immediately where continued access creates an urgent security, legal, or abuse risk.

Upon termination:

  • Customer's right to access the affected Services ends;
  • outstanding payment obligations remain due;
  • Gen7 may delete Customer Content in accordance with this Section and applicable retention practices and contractual obligations; and
  • provisions that by their nature should survive will remain in effect.

Post-Termination Export. Upon Customer's written request made within 30 days after termination or expiration, Gen7 will make Customer Content then in Gen7's possession available to Customer for export in a commonly used, machine-readable format, except where deletion was required by law or requested by Customer. After that 30-day period, Gen7 may delete Customer Content in accordance with its retention practices, subject to retention of routine backups (which are purged on standard cycles) and information Gen7 is required by law to retain.

Survival. Sections 5 (Customer Content representations), 6 (Customer Content and AI Model Training), 16 (Confidentiality), 17 (Fees and Payment, with respect to amounts accrued), 20 (Intellectual Property), 22 (Feedback), 25 (Term and Termination), 26 (Disclaimers), 27 (Limitation of Liability), 28 (Indemnification), 30 (Governing Law and Dispute Resolution), and Sections 31 through 40 will survive termination or expiration of these Terms, together with any other provision that by its nature should survive.

26. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT:

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

GEN7 DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND QUIET ENJOYMENT.

GEN7 DOES NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE;
  • ALL DEFECTS WILL BE CORRECTED;
  • CUSTOMER CONTENT WILL NEVER BE LOST OR CORRUPTED;
  • RETRIEVED OR INFERRED INFORMATION WILL ALWAYS BE ACCURATE;
  • AI-GENERATED OR AUTOMATED OUTPUTS WILL BE CORRECT;
  • THE SERVICES WILL IDENTIFY EVERY CONFLICT OR OUTDATED FACT; OR
  • THE SERVICES WILL MEET EVERY CUSTOMER REQUIREMENT.

CUSTOMER IS RESPONSIBLE FOR EVALUATING THE SERVICES AND OUTPUTS FOR CUSTOMER'S INTENDED USE.

27. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT FOR LIABILITY THAT CANNOT LEGALLY BE LIMITED AND EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT, GEN7'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED:

THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO GEN7 FOR THE AFFECTED SERVICES DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

FOR SERVICES PROVIDED WITHOUT CHARGE, GEN7'S AGGREGATE LIABILITY WILL NOT EXCEED US $100.

Some jurisdictions do not allow certain exclusions or limitations, so some of the limitations above may not apply.

28. Indemnification

Customer will defend, indemnify, and hold harmless Gen7, its affiliates, officers, directors, employees, and agents from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from:

  • Customer Content;
  • Customer's applications;
  • Customer's violation of applicable law;
  • Customer's violation of these Terms;
  • Customer's infringement or misappropriation of third-party rights; or
  • actions taken by Customer systems using the Services where such actions were not caused by Gen7's breach of these Terms.

Enterprise agreements may provide additional or mutual indemnification obligations.

29. Export Controls and Sanctions

Customer may not use, export, re-export, transfer, or provide access to the Services in violation of U.S. export-control, sanctions, or trade laws.

Customer represents that it is not prohibited from receiving the Services under applicable sanctions or export-control laws.

30. Governing Law and Dispute Resolution

Governing Law. These Terms and any dispute arising out of or relating to them will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Informal Resolution. Before initiating a formal proceeding, the party raising a dispute will provide the other party written notice describing the dispute, and the parties will attempt in good faith to resolve it for at least 30 days after that notice.

Binding Arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally will be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator, seated in New Haven, Connecticut, in the English language. The arbitrator may award any relief available in a court of competent jurisdiction, and judgment on the award may be entered in any such court. Each party will bear its own attorneys' fees and costs except where the applicable AAA rules or law provide otherwise. The parties will keep the existence, content, and result of the arbitration confidential except as required by law.

Exceptions. Either party may (a) bring an individual claim in small-claims court where the claim qualifies, and (b) seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual-property rights, Confidential Information, or the security or integrity of the Services.

CLASS ACTION AND JURY WAIVER. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY MAY PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION AGAINST THE OTHER, AND EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY.

Fallback. If the arbitration agreement in this Section is found unenforceable as to a particular dispute, that dispute will be resolved exclusively in the state or federal courts located in Delaware, and the parties consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum to the extent permitted by law.

31. Changes to These Terms

Gen7 may update these Terms from time to time.

If Gen7 makes a material change affecting existing paid Customers, Gen7 will provide reasonable advance notice by email, through the Services, or through another reasonable method.

Changes may take effect immediately where reasonably necessary to:

  • comply with law;
  • address security risks;
  • prevent abuse; or
  • correct non-substantive errors.

Continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms where permitted by law.

Changes will not retroactively alter rights or obligations relating to disputes that arose before the revised Terms became effective unless the parties expressly agree otherwise.

32. Electronic Communications

Customer agrees that Gen7 may provide notices relating to the Services electronically, including by:

  • email;
  • account notification;
  • dashboard notification; or
  • posting within the Services.

Marketing communications are governed separately by applicable law and Customer's communication preferences.

33. Assignment

Customer may not assign these Terms without Gen7's prior written consent, except in connection with a merger, reorganization, or sale of substantially all of Customer's assets where the assignee agrees to assume Customer's obligations.

Gen7 may assign these Terms in connection with a merger, corporate reorganization, financing, acquisition, or sale of all or substantially all of the business or assets associated with the Services.

34. Force Majeure

Neither party will be liable for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, Internet or infrastructure failures, governmental actions, widespread cloud-provider outages, or other force-majeure events.

This section does not excuse Customer's obligation to pay amounts already due.

35. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect, and the invalid provision will be enforced to the maximum extent permitted by law.

36. Waiver

Failure by either party to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

37. Independent Contractors

Gen7 and Customer are independent contractors.

These Terms do not create a partnership, franchise, joint venture, fiduciary relationship, agency relationship, or employment relationship between the parties.

38. No Third-Party Beneficiaries

Except as expressly stated, these Terms do not create rights for any third party.

39. Entire Agreement

These Terms, together with applicable Order Forms and other agreements expressly incorporated into them, constitute the complete agreement between Gen7 and Customer regarding the Services covered by these Terms and supersede prior discussions or understandings concerning those Services.
